General Provisions and Legal Scope
These terms constitute the primary instrument governing the relationship between Usool and its clients. The **use** of the website or the utilisation of any technical service shall be deemed an **acknowledgment** of full acceptance of these provisions. These terms aim to regulate responsibilities and protect the technical assets and intellectual property of the Company, applying to all subsequent correspondence and agreements unless a separate contract provides otherwise.
Nature of Obligation and Technical Services
Usool’s responsibility is limited to providing technical solutions in accordance with **established professional practices** and recognised technical standards. The Company’s work shall not be construed as a guarantee of absolute results in volatile technical environments. All quotations and descriptive information on the website are for guidance only; a contractual obligation is only formed upon a **written agreement** defining the scope of work and the timeline.
Development Services and Software Solutions
The Company undertakes to execute deliverables based on the approved Requirements Document and bears no responsibility for functions not explicitly stated. The Company’s liability for code integrity expires upon **final delivery and the conclusion of the agreed warranty period**, or if the client (or any third party) makes any modifications to the source codes or operational environment settings. Such actions shall be deemed a **discharge of the Company’s liability** for any resulting defects.
Code Ownership and Right of Access Restriction
**Ownership and Right to Restrict Access:** All source codes, software repositories, and engineering architectures remain the property of Usool during the execution phase. Ownership of the right of use does not transfer to the client until **comprehensive financial settlement** of all contract dues is completed. The Company reserves the **right to restrict access** or limit permissions on repositories and codes in the event of payment delays or financial disputes, without any liability for resulting business disruptions.
**Use and Limited Licensing:** Upon full payment, the client is granted a license to use the codes for the designated purpose. The Company retains the right to reuse **general coding patterns** and modules developed during the project in other works, unless a written agreement explicitly prohibits this in a separate contract.
Design Services and Visual Standards
**Technical Description and Creative Scope:** Design services include crafting visual identities and user interfaces according to the Company’s technical vision. The client acknowledges that design deliverables are **discretionary creative works**. Upon approval of the initial prototypes, it shall be deemed a final acceptance of the visual direction; the client shall not be entitled to request fundamental changes to the core structure once the programming phase has commenced.
**Limits of Objection and Amendments:** Client amendments are limited to functional improvements within the agreed scope. Objections based on **purely personal preference** following delivery do not oblige the Company to redo the work. An additional cost policy shall apply to any requests exceeding the specified number of revision rounds or those aimed at changing the identity after approval.
Infrastructure and Cloud Services
The Company’s responsibility in server configuration is limited to proper technical setup at the time of delivery. The Company does not guarantee that these servers will remain free from failures caused by external service providers. The client is **primarily responsible** for managing their financial subscriptions with these entities. The Company hereby disclaims any liability for **data loss** resulting from the expiration of client subscriptions or poor account management.
Cybersecurity and Protection Limits
Cybersecurity services are provided as **fortification and assessment** measures for the current state of systems. Given the evolving nature of digital threats, the Company’s reports do not constitute a guarantee against future breaches. The Company’s obligation is limited to addressing vulnerabilities agreed upon at the time of assessment and bears no responsibility for any **damages** resulting from security incidents occurring after the delivery date.
Legal Liability and Indemnities
The maximum financial liability of Usool towards the client—for any reason whatsoever—is limited to the total amount actually paid by the client for the service in dispute. The Company bears no responsibility for **consequential damages**, such as loss of profits, data loss, or damage to commercial reputation, resulting from the use or inability to use the provided solutions.
Amendments and Governing Law
The Company reserves the right to update these terms to keep pace with technical developments. Continued dealings with the Company constitute implicit approval of the update. These terms are governed by and construed in accordance with the regulations applicable at the **Company’s primary headquarters**, and its courts shall have exclusive jurisdiction over any resulting disputes.
